Terms of Service

These Terms of Service ("Terms") govern your access to and use of lawtegic.solutions, marketing.lawtegic.solutions, and the platforms we operate (collectively, the "Services"). By accessing the Services or executing a Statement of Work (SOW), you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility & Authorized Use

The Services are intended for licensed attorneys, law firms, and other professional-services organizations. You represent that you are authorized to bind your firm and that your use of the Services complies with the rules of professional conduct of every jurisdiction in which you are licensed.

2. Engagements & Fees

Specific deliverables, fees, terms, and performance metrics for paid engagements are set forth in a mutually executed SOW or order form. Unless an SOW says otherwise, fees are billed monthly in advance, net 15, and non-refundable once work has begun. Late balances accrue interest at 1.5% per month or the legal maximum, whichever is less.

3. Client Responsibilities

You are responsible for (a) the accuracy of information, claims, and testimonials you provide, (b) maintaining required disclaimers and conflict checks, (c) approving creative and copy before publication, and (d) ensuring all advertising complies with the ABA Model Rules (including 7.1–7.5), your state bar's advertising rules, the FTC Endorsement Guides, TCPA, CAN-SPAM, and applicable HIPAA / PHI rules where relevant.

4. Intellectual Property

We retain ownership of our pre-existing materials, platforms, methodologies, code (including PlainIntent, TortSignals, TopCite, MyGodBot, OratorAI), and analytics models. Upon full payment, you receive a perpetual, non-exclusive license to use the deliverables created specifically for your firm under an SOW for your internal business purposes.

5. Confidentiality

Each party will protect the other's non-public information with at least the same care it uses for its own confidential information, and not less than a reasonable standard. Client communications protected by attorney-client privilege or attorney work-product doctrine remain so; Lawtegic acts as a vendor/agent and not as legal counsel.

6. Acceptable Use

You may not (a) reverse engineer the Services, (b) use the Services to send unlawful communications, (c) submit data you do not have rights to submit, (d) attempt to disrupt or probe our infrastructure, or (e) resell the Services without written consent.

7. Disclaimers

The Services are provided "as is" and "as available." We disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement to the maximum extent allowed by law. Marketing and intake results vary; we do not guarantee specific rankings, lead volume, case outcomes, or revenue.

8. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or revenues. Our aggregate liability for any claim arising out of the Services will not exceed the fees paid by you to Lawtegic in the 6 months preceding the event giving rise to the claim.

9. Indemnification

You will defend and indemnify Lawtegic against any third-party claim arising from your content, your firm's professional services, or your breach of these Terms. We will defend and indemnify you against any third-party claim that the Services as delivered by us infringe a U.S. patent, copyright, or trademark.

10. Term & Termination

Either party may terminate an engagement for material breach not cured within 30 days of written notice. Sections governing payment, IP, confidentiality, disclaimers, and liability survive termination.

11. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-laws principles. The parties will attempt to resolve disputes through good-faith negotiation, then mediation in Wilmington, DE, before commencing binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Either party may seek injunctive relief in court for IP or confidentiality breaches.

12. Changes

We may update these Terms; material changes will be posted with a revised effective date and, where required, notified by email. Continued use of the Services after the effective date constitutes acceptance.
